GGRP AGMS: 100 Percent of Shareholders Agree to the Meeting Agenda
JAKARTA, Bisnis.com - The agenda of the Annual General Meeting of Shareholders (GMS) of PT Gunung Raja Paksi Tbk (GGRP), which was held on Friday (17/6/2022), was approved by 100% of the shareholders who attended or by all of them. This includes sanctioning the distribution of Rp90 billion in cash dividends. The distribution is made to shareholders who have their names listed in the Company's Register of Shareholders as of June 29, 2022, for a total of 12 billion shares at Rp7,433 per share. "The Annual GMS went off without a hitch. According to GGRP President Director Abednedju Giovano Warani Sangkaeng, who was mentioned in a news release, "all shareholders present agreed to the meeting agenda."
Abednedju said that, in addition to dividend distribution, the AGMS approved the use of the company's net profit for the fiscal year ending December 31, 2021, to be set aside as the Company's reserve fund of US$10 million. "This was done to conform with the stipulations of Article 23 of the Company's Articles of Association," Abednedju, also known as Argo Sangkaeng, explained.
In addition to GGRP President Director Abednedju Giovano Warani Sangkaeng and the board of directors, Biplab Kumar Dutta, Fedaus, and Harianto, the Board of Commissioners, Tony Taniwan, Kimin Tanoto, Edward Hasan, and Ardiansyah Parman, and Slamet Budi Hartadji, were present. The AGMS was held at PT Gunung Raja Paksi Tbk's headquarters. The AGMS also supported the dismissal of GGRP President Commissioner Tony Taniwan, as well as other commissioners Edward Hasan and Kimin Tanoto. Harianto was also fired from his position as a director of the company.
Budi Raharjo Legowo was instead named President Commissioner by the AGMS. In addition, Roymond was named as a Director of the Company.
As a result, Budi Raharjo Legowo is the new President Commissioner of the GGRP Board of Commissioners and Board of Directors. Ardiansyah Parman and Slamet Budi Hartadji, respectively, serve as Independent Commissioners. While the Board of Directors was formed, Abedneju Giovano Warani Sangkaeng was named President Director. Biplab Kumar Dutta, Fedaus, and Roymond are the company's directors in the meantime.
The GMS also agreed that the Company's Board of Commissioners will not receive a bonus for the fiscal year ending December 31, 2021, according to Argo. Meanwhile, members of the Company's Board of Directors received a bonus for the fiscal year ending December 31, 2021. The GMS also assigned to the Company's Board of Commissioners the ability to choose a Public Accountant to audit the Company's financial statements for the fiscal year ending December 31, 2022. This is done to ensure that all applicable requirements are followed and that a suitable Public Accountant is hired.
"A Public Accountant who has audit experience in the field of the Company's business activities, has adequate human resources, and is independent are the qualifications for a Public Accountant who can be chosen," he stated.
